Paris, April 10th, 2015 – Bryan, Garnier & Co advises the secondary private placement of 16% of CAST share capital, a leading international software vendor focused on the emerging software application analytics market.

CM-CIC Investissement has acquired 16% of the share capital from DFJ Esprit and Idinvest and becomes a cornerstone shareholder of the company, strengthening its capital structure in the context of the recent disclosure of a 12,24% ownership by a US software vendor.

This investment of CM-CIC growth capital principal investment arm provides solid long term support to the company growth strategy. It completes the reorganization of the capital structure of CAST, now ideally positioned to seize a large market opportunity. This follows the recent announcement of a 12,24% holding of DevFactory inc., a wholly owned subsidiary of Trilogy Inc; a US software company focused on global 1000 companies.

Vincent DELAROCHE, CEO of CAST stated: “With CM-CIC Investissement, CAST is welcoming a new major shareholder who shares our strong ambition for the company and will provide long term support to implement our strategy”.

CAST is a global pioneer in the development of IT Software analytics to provide corporate executives with management insights and standardized measures about software application health (structural quality, efficiency-resiliency, complexity, technical risks, technical debt, maintenance costs estimation…etc.), and size. Following years of intense R&D investments and efforts to educate the market, the company benefits today from a strong momentum resulting from four key favourable drivers:

  • the fast-growing demand for analytics for managing software risks and productivity within global organizations,
  • the adoption over the past 36 months by most of the global system integrators (Wiproo, Infosys, Cognizant, Accenture, Atos Origin, Cap Gemini…) of CAST analytics not only as a standard to measure the performance of their software factories but also as a technology foundation to new service offers,
  • an ongoing and unanimous endorsement by the analysts (Gartner, Forrester, IDC…) and consulting firms of CAST as the industry standard for IT software strategies performance measurement, and
  • the emergence of new IT software quality measurement standards (CISQ) where CAST plays a leading and referential role.

Greg Revenu, Managing Partner of Bryan, Garnier & Co, sole agent for this private placement, commented on the announcement: “In a context where big data is broadly considered as a new paradigm in the decision making processes to improve the performance of global organizations, and where risk assessment has become a key responsibility for their management, application software assets have been under increasing scrutiny. CAST has a unique response to these challenges. It has now also a solid capital structure to implement its ambitious growth strategy”.
