Bryan, Garnier & Co acts as Joint Financial Advisor to the shareholders of Evolucare, leading player in the digital transformation of French healthcare, on the sale of the company to GPI, tech leader company in IT solutions, healthcare and social services

Bryan, Garnier & Co acts as Joint Financial Advisor to the shareholders of Evolucare, leading player in software solutions for the digital transformation of French healthcare in its acquisition by GPI a company listed on Euronext Milan.

This strategic move will allow Evolucare to significantly expand its international presence, particularly and become part of a larger growth-oriented industrial group. The transaction aligns with GPI’s strategic plan to consolidate its position as a key player in the digital health sector in Europe, allowing for a significant expansion of the Software SBA – with a 2022 pro-forma revenue increase of 26% and an EBITDA increase of 35% as well as a significant increase in the Group’s share of revenue generated abroad (approx. 14% to 23%).

The move towards portfolio pooling is based on a value proposition aimed at the sustainability of healthcare systems, namely in the digitisation, personalisation, innovation & improvement and territoriality domains.

A competitive process involving Tier-1 French and international Private Equity investors, as well as trade buyers, was organized by the company and shareholders’ financial advisors.

Following on from Padoa, Arche MC2, CBA, Maincare Solutions, BlueBee, Amplexor Life Sciences, Qare, and numerous other landmark transactions in the healthcare technologies sector, this new deal marks another milestone for Bryan, Garnier & Co.

Founded in 1988 by the Le Guilcher family, the Evolucare Group is a historic, leading French software provider specialising in the healthcare sector and operating in 19 countries. The Group offers an integrated portfolio of software solutions at the service of the patient journey by providing proprietary solutions to hospitals, public and private clinics, diagnostic and rehabilitation centres and medical-social facilities (e.g. nursing homes and residences for the disabled) primarily throughout France and Germany (through the recently acquired company Health Information Management).
