Bryan, Garnier & Co acts as Sole Financial Advisor to Verto (ex. NewAlpha Verto) and the Management of Sinari on a secondary LBO led by Bridgepoint Development Capital

Sinari is the French leader in software solutions for road freight transport companies and logistics specialists.

Sinari offers an end-to-end suite to address all carrier needs. The group has over 260 employees and an extensive customer base of over 6,000 clients.

Since its primary LBO operation led by Verto (ex. NewAlpha Verto) in 2019, Sinari has strengthened its position both organically and through selected acquisitions, expanding its product portfolio and gaining market shares.

Going forward Bridgepoint’s will support the group in accelerating its international development and developing in new vertical markets.

Bryan, Garnier & Co also acted as debt coordinator and initiated a competitive financing process with senior private and unitranche lenders for the financing of the transaction

This marks another landmark transaction for Bryan, Garnier & Co’s Software & Fintech practice and is a further demonstration of its expertise in private equity-led transactions. Other notable transactions in the past two years include the investment of Hg Capital in Nomadia, the investment of Keensight in e-Attestation, Carlyle’s investment in Groupe Lacour, the sale of Mailinblack to Apax Partners, the acquisition of CAST Software by Bridgepoint Development Capital.

Created in 2019 following the merger of OMP and GPI, Sinari is a French software publisher for the transport and logistics sectors. Sinari then carried out several external growth operations to diversify its product portfolio and gain market share, in France and Benelux. Sinari and its subsidiaries offer a complete range of Transport Management Systems (TMS), Fleet Management Systems (FMS), Onboard Computing and Social Management, Warehouse Management Systems (WMS), Route Optimisation, Garage Management and Career Management. Sinari relies on a recurring business model and a base of over 6,000 active customers from various industries. The company employs 260 people in 11 offices in France and Benelux.
