This transaction gives birth to one of the largest independent consulting firm in France.

Paris, April 2nd, 2008 – Bryan, Garnier & Co, a pan-European investment bank focusing on growth companies, announces today that its Corporate Finance Department has successfully closed the acquisition of Cosmosbay~Vectis by Solucom group. Bryan, Garnier & Co acted as sole financial advisor to Cosmosbay~Vectis’ shareholders.

Cosmosbay~Vectis is an independent consultancy firm for management and IT systems, with revenues of more than €21m and more than 200 employees, offering services in three areas, which complement Solucom’s skills sets very well: management consulting, IT consulting, technology and portals consulting.

This operation allows Solucom to fast track its growth, and to advance its strategy, it is acquiring a solid position in consulting and support in project management at the major IT sites for professional departments. This position is enhanced by the ability to support these departments in their strategic and marketing thinking.

“This merger lets Solucom jump ahead in its growth plan”, announced Pascal Imbert, Solucom’s Chairman. “Cosmosbay~Vectis has an outstanding image in the consulting market and brings new, very high added-value skills to the group, which will enable us to offer even more comprehensive solutions to our clients in their major projects.”

With more than 850 employees in this new entity, the new group is becoming one of the largest French independent IT consulting companies in France. The new team will benefit from a scale and know-how that will provide access to the largest and most strategic projects on the market.

“By joining up with Solucom, Cosmosbay~Vectis is going to benefit from new leverage that will let it accelerate its growth”, says Eric Rabaux, Cosmosbay~Vectis’ CEO. “Solucom’s corporate plan really attracted us, and we feel we share values, which gives us a lot of confidence in the success of this merger.”

Jean-Luc Lénart, Senior Advisor at Bryan, Garnier & Co says: “Apart from the strategic and operational obviousness for Solucom and CosmosBay~Vectis, this merger illustrates the importance of the adequacy of human values in the sector, and especially in consulting. This factor has largely contributed to make this operation possible and I’m sure it will contribute as well to the success of this new group in the future.”

Following the fund raising for both Sword and Risc Group in 2007, the sale of AS Infor to Cegid, the sale of Ornis to Risc Group and the sales of Infolog and Influe to Generix, this transaction underlines the ability of Bryan, Garnier & Co to successfully lead transactions in the area of Technology and IT Services, from financing to mergers and acquisitions. This transaction reinforces once again Bryan, Garnier & Co’s positioning in « mid market » M&A transactions and makes it a leading investment bank in the TMT sector.
